INTEREP – Internal QuickBooks App
Effective Date: November 7th, 2025
1. Overview
This End User License Agreement (“Agreement”) governs the use of the internal QuickBooks integration application (“Software”) developed by INTEREP, Inc. (“Company”). The Software is intended solely for internal use by authorized employees, contractors, and agents of the Company (“Users”).
2. License
The Company grants Users a limited, non-transferable, non-exclusive license to use the Software solely for internal business operations. The Software may not be distributed, sublicensed, or made available to external parties without written consent from the Company.
3. Ownership
All intellectual property rights in and to the Software remain the exclusive property of the Company. This Agreement does not grant Users any rights beyond those expressly stated.
4. Restrictions
Users may not:

Modify, reverse-engineer, or decompile the Software;

Use the Software for any purpose other than authorized internal business functions;

Circumvent security or access controls.
5. Data Access
The Software may access accounting or customer data from QuickBooks to perform business-related functions. Use of such data must comply with internal data handling policies and applicable privacy standards.
6. Disclaimer
The Software is provided “as is” without warranty of any kind, whether express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
7. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from the use of or inability to use the Software.
8. Termination
Access to the Software may be revoked at any time for security or policy reasons. Upon termination, Users must immediately cease use of the Software.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to conflict of law principles.
